Ms. Madden has extensive experience representing corporate clients both in-house and in private practice. She has represented large corporations, bank holding companies, small businesses and individuals. Her areas of expertise are mergers and acquisition, asset purchases and sales, and contract negotiations.
Ms. Madden went to Boston College Law School in Newton Centre, Massachusetts, and is licensed to practice law in New York and Missouri, the latter of which is her home state. Ms. Madden began her career at Shearman & Sterling in New York, where she worked in the Litigation Department and the Real Estate Finance Department. After Shearman & Sterling, she moved back to St. Louis where she worked as in-house counsel for an international privately-held grain company, as well as for a bank holding company. She worked as a solo practitioner for several years where she provided representation and advocacy to small, closely-held companies, non-profit corporations, joint ventures, limited liability companies, partnerships and individuals.
While working as in-house counsel for a bank holding company in St. Louis, Ms. Madden spearheaded numerous bank holding company acquisitions by negotiating terms of transactions, drafting merger agreements and preparing SEC filings. She executed all daily bank regulatory work required in connection with acquisitions, working closely with the OCC, Federal Reserve Bank, and the FDIC. She also successfully formed a national trust company and transferred all trust assets of held by state bank subsidiaries across six states to the national trust company.
As a solo practitioner, Ms. Madden provided representation to various small businesses and individuals. She prepared all corporate and tax documentation required for the formation of non-profit corporations, administered real estate matters, created inter-company loan documentation, and drafted and negotiated documents for numerous commercial and corporate transactions.
